Introduction

MICUS Inc. (“MICUS”) offers consultingboutique.com, micus.co, thecoachschool.de, ceolifecoachschool.com and related products and services (collectively the “Site”) to you, our valued customer, conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the “Terms”). By accessing or using the Site, you agree to be bound by the terms and conditions of this agreement. In the event that any of these terms are not acceptable to you or should future revisions be unacceptable to you, please cease using the Site immediately. Your continued use of the Site now or following the posting of any revisions will indicate your agreement and acceptance of these terms and conditions and any future changes. The content available on the Site is intended by the Company to be used by residents of the United States, only. The Site is available only to individuals and entities that can form legally binding contracts under applicable law. Without limiting the foregoing, the Site and the services offered by the Site are not available to minors.

Modification of These Terms

We reserve the right in our sole discretion to change, modify, add, or remove the Terms, conditions, and notices under which the Site is offered. It is your responsibility to check periodically for any changes we may make to these Terms. Your continued use of this Site following the effective date of changes to these Terms or other policies means you accept and consent to the changes.

No Unlawful or Prohibited Use

As a condition of your use of the Site, you warrant that you will not use the Site for any purpose that is unlawful or prohibited by these Terms, conditions, and notices.

  • You will comply with all applicable laws, including, but not limited to, privacy laws, intellectual property laws, export control laws, regulatory requirements, etc.

  • You will use the Site in a professional manner, and you may not use the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with any other party’s use and enjoyment of the Site.

  • You will not create or attempt to create multiple unique user accounts.

  • This includes using multiple email addresses to access the Site.

  • You will not impersonate any person or entity, including, but not limited to, any MICUS Inc. employee, nor will you falsely assert or otherwise misrepresent your affiliation or authority with any person or entity.

  • You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided through the Site.

  • You will not use any robot, spider, other automatic device, or manual process to monitor or copy the Site or the contents or information contained therein without our prior express written consent.

  • You agree that you will not use any device, software, or routine to interfere or attempt to interfere with the proper working of the Site or any transaction being conducted through the Site.

  • The information you provide to us (i) shall not contain any viruses, Trojan horses, worms, time bombs, cancelbots, or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system, data, or information; and (ii) shall not create liability for us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers.

  • You agree that you will not copy, reproduce, alter, modify, create derivative works, or publicly display any content (except for any information in which you have an ownership interest) from the Site without our prior express written consent or that of the appropriate third party.

  • You may not print, download, and/or use the underlying HTML, text, audio clips, video clips, and other content that is made available to you on this Site for anything other than your personal information. These restrictions will apply except in cases where the Company otherwise agrees in writing or the person achieves Certification as a life coach through MICUS Inc.. Please see the section on Copyright below.

  • Without limiting the generality of the foregoing, you may not:

    • include such content in or with any product or service that you create or distribute;

    • reproduce, duplicate, copy, sell, rent, resell, or exploit for any commercial purposes any portion of the Site, use of the Site, or access to the Site;

    • establish: (i) a hyperlink, including a deep link, to any page or location on the Site; or (ii) a frame containing any portion of the Site, on any other Web site or text document with hyperlink capabilities without the express written permission of the Company;

    • copy such content onto your or any other Web site or publication; or

    • direct any other person to do any of the foregoing.

In the event you gain access to information or material not intended to be accessed by you, you agree that you will immediately notify us and destroy all copies of such information in your possession and not forward such information to any third parties. EMAIL COMMUNICATIONS

Email communication is not secure and there is no guarantee that an email will be delivered within a reasonable time, or at all. We advise you to contact us and double check with any information that must reach us by certain deadlines.

USE OF COMMUNICATION SERVICES

The Site may contain bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, and/or other message or communication facilities designed to enable you to communicate with the public at large or within a group (collectively, “Communication Services”). If you provide an email address or phone number (mobile or landline), you warrant that you either are the account holder or have the express permission of the account holder to provide such information. If you provide permission to text a mobile number, you are consenting to receiving marketing communications to that number. Consent to receive text messages is not a requirement for your use of the Site and permission may be withdrawn at any time by contacting [email protected].

You agree to use the Communication Services only to post, send, and receive messages and material that are proper and related to the particular Communication Service. By way of example, and not as a limitation, you agree that when using a Communication Service, you will not:

  • Defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights (such as rights of privacy and publicity) of others.

  • Publish, post, upload, distribute, or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material, or information.

  • Upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents.

  • Upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of the Site or another’s computer.

  • Advertise or offer to sell or buy any goods or services for any business purpose, unless such Communication Service specifically allows such messages.

  • Conduct or forward surveys, contests, pyramid schemes, or chain letters.

  • Download and/or distribute any file posted by another user of the Communication Services that you know, or reasonably should know, cannot be legally distributed in such manner.

  • Falsify or delete any author attributions, legal, or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded.

  • Restrict or inhibit any other user from using and enjoying the Communication Services.

  • Violate any code of conduct or other guidelines which may be applicable for any particular Communication Service.

  • Harvest or otherwise collect information about others, including email addresses, without their consent.

  • Violate any applicable laws or regulations.

Please note that we have no obligation to monitor the Communication Services. However, we reserve the right in our sole discretion to review all activity and materials related to the Communication Services and to stop activity and remove any materials at any time, for any reason, without notice to you. We also reserve the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.

Further, we reserve the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process, or governmental request or to edit, refuse to post, or remove any information or materials, in whole or in part, in our sole discretion. We shall not be liable to you for any loss you may incur as a result of our taking any action relating to removal, editing, or disclosure to regulatory bodies or law enforcement, nor for the actions or inactions of other users, including anything contained in your or any third party’s contributions. You agree to indemnify us for any cost, expenses, damages, or liabilities we incur due to your use of the Site or otherwise relating to any of your contributions.

Always use caution when giving out any personally identifying information about yourself or others in any Communication Service. The Company does not control or endorse the content, messages, or information found in any Communication Service and, therefore, the Company specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. Managers and hosts are not authorized Company spokespersons, and their views do not necessarily reflect those of the Company.

Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction, and/or dissemination. You are responsible for adhering to such limitations if you download the materials.

MICUS Code of Conduct Requirements

As a member of The Coach School Community, the Certified Coaching Program, the Certified Coach Alumni Community, and/or as a One to One Coaching client, you are required to be a good Community member and abide by the following:

  • Be respectful and courteous to all other Community members and all coaches, instructors, and employees of MICUS Inc..

  • Do not use abusive, derogatory, threatening, or discriminatory language, either directly or indirectly.

  • Do not discriminate against or harass on the basis of any legally protected classification, including, but not limited to race, gender, age, disability, national origin, religion, sexual orientation, or gender identity.

  • Do not retaliate for any reason.

  • Do not sexually harass or make improper advances.

  • Do not hang up abruptly on others when you are on a live call of any kind.

  • Do not use your coaching sessions to complain about coaches, instructors, and employees of MICUS Inc. or other Community members.

Do not directly contact any coach, instructor, or employee of MICUS Inc. for any reason. Customer Support requests or issues should be directed exclusively to [email protected].

Information Provided to MICUS Inc. or Posted on the Site

Other than personal information that you may submit in order to complete an employment application through the Site, we do not claim ownership of the materials or information you provide to us (including feedback and suggestions) or post, upload, input, or submit to any Site or its associated services (collectively “Submissions”). However, by posting, uploading, inputting, providing, or submitting your Submission, you are granting us, our affiliated companies and necessary sub licensees, permission to use your Submission in connection with the operation of the Site and its businesses, including, without limitation, the rights to: utilize, copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate, and reformat your Submission; and to publish your name in connection with your Submission, except to the extent prohibited by law. None of the Submissions shall be subject to any obligation of confidentiality on our part, and we shall not be liable for any use or disclosure of any Submissions.

Without limitation of the foregoing, we shall be entitled to unrestricted use of the Submissions for any purpose without compensation to the provider of the Submissions. All personal information provided to this Site will be handled in accordance with the Site’s online Privacy Policy, the provisions of which are incorporated into the Terms. We are under no obligation to post or use any Submission you may provide and may in our sole discretion remove any Submission at any time, for any reason, without notice to you.

By posting, uploading, inputting, providing, or submitting your Submission, you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section, including, without limitation, all the rights necessary for you to provide, post, upload, input, or submit the Submissions.

In the course of using the Site, you may submit your personal data and/or the personal data of others. It is your responsibility to ensure this information is accurate and up to date.

Information Collected by Third Parties

Right to Refuse Service

We also reserve the right to refuse service, terminate your access, remove or edit content, or cancel orders in our sole and absolute discretion.

Access to parts of the Site may be restricted to authorized persons. If you believe you have been granted access to any document or file by mistake, please exit the restricted section immediately and contact us as soon as possible.

Indemnification

Without limiting the foregoing, if you cause a technical disruption of the Site or the systems transmitting the Site to you or others, you agree to be responsible for any and all losses, liabilities, expenses, damages, and costs, including reasonable attorneys’ fees and court costs, arising or resulting from that disruption.

In the event that any Claim is made or any action or proceeding is brought against the Indemnified Parties, or any of them, arising out of or connected with the Terms, any such Indemnified Party may, by reasonable notice to you, require you, at your expense, to resist such Claim or take over the defense of any such action or proceeding and employ counsel for such purpose, such counsel to be subject to the prior written approval of such Indemnified Party, which approval shall be deemed to have been given hereby in the case of counsel acting for your insurance underwriters engaged in such resistance or defense. You shall cooperate with us in the defense of any Claim. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

Online Commerce, Payments, Disclaimers

MICUS Inc. cannot guarantee your results, earnings, or future earnings achieved as a result of your use of our programs, nor can we provide you with professional and/or legal advice. Your results in your business will be completely dependent on your understanding of the material and your own work and efforts to apply it. By signing up/enrolling in a Coach Certification Program training, Product, or Service, you acknowledge and agree that MICUS Inc. is not responsible for your results, earnings, future earnings achieved as a result of our Coach Certification Program training, Product, or Service and is not responsible for giving you professional and/or legal advice.

Certified Coaching Program

thecoachschool.de/certified consultingboutique.com/certifications To participate in the Certified Coaching Program, you agree to maintain a respectful attitude and hold space for your peers and instructor within the group setting. Failure to do so may result in immediate removal from your small group, Group Class, or from the Coach Certification Program altogether, without prior notice. Examples of the types of behaviors that will not be tolerated include, but are not limited to, the following: use of derogatory or explicit language, harassing, aggressive, inappropriate, threatening, or argumentative behavior, disrespect toward your peers, your instructors, or any member of MICUS staff.

TRANSFER TO NEXT CLASS SESSION DUE TO MEDICAL NECESSITY

If you are unable to complete your Coach Certification Program by your predetermined program end date due to a medical condition, you may be permitted to pause your participation and/or transfer to the next class session. To do so, you may be asked to provide medical certification that not only confirms the existence of a disability that has prohibited you from completing the requirements by your predetermined end date, but also certifies that you will be able to participate in the course and meet the requirements for the next class session. When you return to complete certification, you agree to participation in the program as it’s currently being offered and, in the event of significant program changes, may be required to pay the difference in tuition cost.

CONFIDENTIALITY

The Certified Coach Program and Certified Coach Program Alumni communities (“CCP Communities”) are social networks in which personal and professional information may be exchanged between participants. You are entirely responsible for deciding how much of your personal information you wish to share in the Communities. By taking part in the Communities, you agree to keep information of other members confidential. The Company will not share, sell, or rent the personal information of its members to third-party businesses; however, we cannot guarantee the confidentiality of any of the information you choose to share in the Community. Please review our PRIVACY POLICY to learn how we manage personal information.All CCP Communities materials, coaching, coaching calls, call replays, class replays, recordings, instructor calls and call recordings, transcripts, workshops and workshop recordings, as well as the personal information of individuals are to be kept confidential. These materials and information may not be duplicated, shared, posted on social media or utilized in any way.

RIGHT TO REFUSE OR TERMINATE ACCESS

We reserve the right in our sole discretion to refuse or terminate your access to our Coach Certification Program trainings, Products, Services, and/or our program materials, website, e-mail communications, or any other method of communications related to our Coach Certification Program trainings, Products, or Services at any time without notice.Should you or we wish to terminate the Coach Certification Program trainings, Products, or Services at any time, these termination terms will apply to you as well, even after termination by either of us.

In the event of cancellation or termination, all remaining balances owed shall be immediately due, and you are no longer authorized to access the Coach Certification Program trainings, Products, Services or our website, e-mail, or any or other methods of communications affected by such cancellation or termination. The restrictions imposed on you with respect to Coach Certification Program training materials and the Coach Certification Program trainings, Products, or Services, including, but not limited to all of the disclaimers, limitations of liabilities, and rights set forth in these Terms of Use , shall survive such termination of your access and apply in full force.

PAYMENT

If paying by credit/debit card, you give MICUS Inc. permission and authorization to automatically charge your credit or debit card as payment for your Coach Certification Program training, Products, or Services for which you will receive an electronic receipt. If you purchase Coach Certification Program training, Products, or Services using our payment plan option, you agree to pay the initial payment to secure your participation and also agree to begin payments on the date specified on the enrollment form. By using the enrollment form, you give MICUS Inc. permission and authorization to automatically charge your credit/debit card every thirty (30) days until all payments are completed.

In the event that payment is not received by the date due, you will have a seven (7) day grace period in which to make payment; otherwise, your access and entitlement to the Coach Certification Program training materials, Products, or Services will be discontinued. If you fail to make payment in a timely manner in accordance with these Terms and Conditions or voluntarily decide to withdraw from our Coach Certification Program training, Products, or Services at any time or for any reason whatsoever, you still will remain fully responsible for the full cost of the Coach Certification Program trainings, Products, and/or Services.

When you purchase any Coach Certification Program training, Products, or Services, the information provided and obtained as part of the transaction, such as your credit card number and contact information, may be collected by both the third-party merchant and by us. A merchant may have privacy and data collection practices that are different from ours. We have no responsibility or liability for the merchant’s independent policies.

You agree to be financially responsible for all purchases you make. You agree to purchase and use our Coach Certification Program training, Products, or Services for legitimate purposes only in compliance with these Terms of Use. You also agree not to make any purchases for speculative, false, or fraudulent purposes. You release us and our affiliates from any damages that you incur and agree not to assert any claims against us or them, arising from your purchase or use of our Coach Certification Program training, Products, or Services.

When you purchase our Coach Certification Program training, the monies for said tuition apply to the Coach Certification Program training only. Coach Certification, use of the Business Strategies resource(s), and any other post-Coach Certification Program training class offerings, including Advanced Trainings approved by the Company, are strictly optional and not refundable. Your Coach Certification course and qualification requirements must be completed before you will become eligible to utilize the Business Strategies resource(s) or take any other post-Coach Certification trainings, including Coach School or Consutling Boutique Approved Advanced Trainings or Master Coach Training, or other classes or workshops that require the purchaser to be an “Certified Coach.”

REFUND POLICY

Your satisfaction with your BUSINESS Coach Certification Program training, Products, and Services is of utmost importance to the Company. Once the Coach Certification Program session in which you have enrolled begins, you will have seven (7) days* from the start date of the program in which to withdraw from the Program and request a refund. You understand and acknowledge that, because of the extensive time, effort, preparation, and care that goes into creating and/or providing our Coach Certification Program training, Products, and Services, we are unable to honor any requests for a refund of any portion of your payment (including Application Fees) for any part of our Coach Certification Program trainings, Products, and Services beyond that date.

DISPUTE RESOLUTION| ARBITRATION| CHOICE OF LAW

It is hoped that should you and the Company ever have any differences, we will be able to work them out amicably through a phone conversation or email correspondence. However, should a dispute ever arise between us, we agree now that we will submit to binding arbitration before a single arbitrator, selected jointly in the state of Texas, in accordance with the American Arbitration Association Rules. You understand and agree now that the only remedy that can be awarded to you through arbitration is a full refund of any Payment(s) made by you, up to the date of the award. You agree that no award of consequential or of any other damages may be granted to you and you agree not to seek the same.

You agree that, by using the Site, Content, any Service or any Products, you are waiving the right to a court or jury trial or to participate in a class action. You agree that you may bring claims against us only in your individual capacity and not as a Plaintiff or class member in any purported class, representative, or collective proceeding. Any and all arbitrations will take place on an individual basis, only. Class arbitrations and class actions are not permitted.

By signing up for/enrolling in/purchasing any of our Training Programs, Products, and Services, you are agreeing to a modification of the statute of limitations such that any arbitration must be commenced within one (1) year of the date of the act, omission, or other conduct complained of as submitted by you in email or shall otherwise be forfeited forever. Where requested by law or arbitration, of course, you are not prohibited from sharing your thoughts and opinions as a part of the legal process.

Availability of Products Outside the United States

By attending/participating in a Certification Live, in person, or virtual event, (the “Event”), including any live coaching calls, you hereby authorize MICUS Inc. to use your name, image and likeness, including but not limited to as may be captured in photographs, audio recordings, videos, artwork, quotes, and any other art or media in connection with the Event (the “Materials”). You hereby release MICUS Inc. and any affiliated or related persons or entities from any and all claims and causes of action you may have based upon MICUS Inc.’s use of the Materials, and grant MICUS Inc. permission to use, publish, exhibit and/or reproduce the Materials in any manner and in any and all media now known or later developed, without obligation to pay you any royalty or compensation of any kind. Such rights include but are not limited to use in connection with advertising, social media, publicity, marketing, fundraising, promotional and other commercial purposes. If you do not wish to or are not authorized to grant such rights, releases and waivers, you should not attend the Event.

YOU CERTIFY THAT YOU HAVE CAREFULLY READ AND UNDERSTAND THIS RELEASE AND ARE AUTHORIZED TO AND DO AGREE TO ITS TERMS. By agreeing to the MICUS Inc. SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of MICUS Inc. through your mobile carrier to the mobile number you provide, even if that number is on a state or federal block list. Die nachfolgenden Allgemeinen Nutzungs- und Geschäftsbedingungen (nachfolgend "AGB") bilden die Grundlage für die Benutzung der unter der URL www.krissmicus.dewww.krissmicus.cowww.mepreneur.de www.brilliantheads.dewww.mprnr.de and www.productivitybusiness.com, sowie allen Subdomains (nachfolgend gemeinsam "Website" genannt) von der KRISS MICUS GmbH, Brunnenstr. 23, 33034 Brakel, eingetragen im Handelsregister des Amtsgerichts Paderborn unter HRB 14677 (nachfolgend "KRISS MICUS GmbH", "KRISS MICUS", "wir" und "uns" genannt) angebotenen Dienste.

 

I. Geltungsbereich und Vertragsgegenstand

1. Wir bieten unseren Geschäftskunden an, die von uns entwickelten digitalen Inhalte (z.B. Online-Trainingsprogramme) sowie die damit verbundenen weiteren Leistungsangebote (z.B. Beratung und Coaching) zu nutzen. Die Benutzung unserer Dienste erfolgt ausschließlich gemäß den Bestimmungen dieser AGB. Mit dem Zugriff auf diese Website erklärst Du Dich mit den Bestimmungen dieser AGB einverstanden.

2. Der Fokus liegt dabei auf der Vermittlung der von Frau Kriss Micus entwickelten, urheberrechtlich geschützten Methoden und Strategien (nachfolgend auch "Methode" genannt).

3. Diese AGB gelten nur gegenüber unseren geschäftlichen Kunden, d.h. Unternehmen (§ 14 BGB), juristischen Personen des öffentlichen Rechts oder öffentlich-rechtlichen Sondervermögen i.S.d. § 310 Abs. 1 Satz 1 BGB an. Verbraucher (§ 13 BGB) haben keinen Zugang zu unseren Leistungen. Mit der Buchung erklärst du, dass du geschäftlich agierst. Wir können verlangen, dass Du uns Deine Unternehmereigenschaft ausreichend (z.B. durch Angabe Deiner UST-ID-Nr.) nachweist.

4. Abweichende allgemeine Geschäftsbedingungen des Kunden gelten nicht. Sie finden auch dann keine Anwendung, wenn wir ihnen nicht ausdrücklich widersprechen.

5. Hinsichtlich des Schutzes personenbezogener Daten verweisen wir auf unsere Datenschutzhinweise unter https://www.krissmicus.de/datenschutz.

II. Bewerbungsprozess

1. Um die Online-Trainingsprogramme sowie die damit verbundenen weiteren Leistungsangebote nutzen zu können, kann eine Bewerbung nötig sein. Unser THE Program ist ausschließlich nach einer angenommenen Bewerbung zu buchen. Unsere Teilnehmer ("Mitglieder") erhalten dann Zugriff zu einem Buchungsformular.

2. Zweck des Bewerbungsprozesses ist es, festzustellen, ob die von uns entwickelte Mepreneur Methode für Dich bzw. Dein Produkt geeignet ist. Der komplette Bewerbungsvorgang ist für Dich kostenlos und verpflichtet Dich zu nichts.

3. Jede einzelne Bewerbung wird von der Entwicklerin der Mepreneur Methode, Frau Kriss Micus und ihren Coaches nach billigem Ermessen geprüft. Sollten die grundlegenden Voraussetzungen vorliegen, schicken wir Dir einen Link zu einem exklusiven "Pre Qualification Kurs", der Dir die Mepreneur Methode und unser Vorgehen näherbringt oder vereinbaren ein virtuelles Gespräch mit Dir, um bestehende Rückfragen zu klären, insbesondere zu klären, ob Deine Idee bzw. Dein Business-Modell für die Mepreneur Methode geeignet ist und Du auch im Programm bestmöglich betreut werden kannst.

4. Sollte Frau Kriss Micus nach dem Bewerbungsprozess zu der Auffassung gelangen, dass Dein Business-Modell für die Mepreneur Methode geeignet ist, werden wir Dir am Ende des Bewerbungsgesprächs einen Buchungslink zusenden. Über diesen Buchungslink kannst Du dann das gewünschte Online-Trainingsprogramm kostenpflichtig bestellen.

III. Registrierung und Verantwortlichkeit

1. Die meisten der von der KRISS MICUS GmbH angebotenen Dienste kannst Du nur in Anspruch nehmen, wenn Du Dich auf der Website registrierst. Blogs sowie auf der Plattform YouTube unter dem URL https://youtube/c/krissmicus hochgeladene Videos können ohne eine vorherige Registrierung in Anspruch genommen werden. Für alle anderen Dienste ist eine Registrierung erforderlich.

2. Nach der kostenpflichtigen Bestellung des Online-Trainingsprogramms erhältst du über einen sicheren Link Zugang zu den Programminhalten. Mithilfe Deiner E-Mail-Adresse und einem Passwort (nachfolgend gemeinsam "Zugangsdaten") meldest Du Dich dann auf der Website an ("Registrierung"). Mit der Bestätigung Deiner E-Mail-Adresse durch das Aktivieren des in der von uns zugesandten Bestätigungsmail enthaltenen Links wird der Registrierungsvorgang abgeschlossen.

3. Die Zugangsdaten sind sicher zu verwahren und geheim zu halten. Du bist uns gegenüber nach Maßgabe dieser Ziff. III. 3. dafür verantwortlich, wenn andere Personen mithilfe der Dir zugewiesenen Zugangsdaten unsere Dienste nutzen. Sämtliche, auf der Programmplattform vorgenommen Handlungen, gleichgültig ob autorisiert oder nicht, gelten als durch Dich oder in Deinem Namen vorgenommen; deine Verantwortung ist jedoch insoweit beschränkt, als Du nachweisen kannst, dass Du trotz Beachtung angemessener Sorgfaltsmaßnahmen Opfer eines rechtswidrigen Angriffs von Dritten geworden bist (z.B. Hacker, Betrüger).

4. Du stimmst zu, keine falschen Informationen über Deine Person vorzugeben, Dich nicht als eine andere Person auszugeben oder irreführende, falsche oder rechtswidrige Inhalte bereitzustellen.

5. Sämtliche im Rahmen der Bestellung und Registrierung von Dir angegebenen personenbezogenen Daten werden von der KRISS MICUS GmbH zum Zwecke der Buchungsabwicklung und Kundenbetreuung verarbeitet. Beachte zum Zweck und Umfang der Verarbeitung Deiner Daten bitte unsere Datenschutzhinweise, abrufbar unter https://www.krissmicus.de/datenschutz.

IV Angebotene Leistungen

1. Die KRISS MICUS GmbH stellt Unternehmen und UntehmerInnen über die Website digitale Inhalte in Form von Videos, Screencasts, Meeting-Aufzeichnungen, Review Sessions, Live-Workshops und Templates bereit. Mit Bestellung des Online-Trainingsprogramms erhältst Du Zugang auf das volle von Dir bestellte Programm, selbst wenn die Zahlung ratenweise erfolgen sollte.

2. Wir unterscheiden zwischen den folgenden digitalen Angeboten:

* Mepreneur. Seit September 2022 "THE Program". Dieses Programm vermittelt dir die 3 Bausteine der Mepreneur Methode (create.automate.scale) und kann in einer Uplevel, Highlevel oder LEAD Edition gebucht werden. Die Vermittlung der Inhalte erfolgt durch die zur Verfügung gestellten Trainingsvideos. Die kommenden Inhalte sind freiwillig und kein fester Programmbestandteil: 

* wöchentliche Coaching Sessions mit Kriss. Kein vertraglich fester Bestandteil sind die darüber hinaus freiwillig angebotenen Gruppen Coachings mit Kriss Micus ("Mepreneur Meetings"), in denen vorab gestellte Fragen und Aufgaben besprochen werden können.

* Community-Erweiterung. Als zusätzlicher Teil des Programms erhält der Kunde 12 Monate lang Zugang zu der privaten Community.

* Kursboni. Zum Zeitpunkt des Kaufs und der Buchung des Programms erhält der Kunde Zugang zum Kernlehrplan des Programms sowie zu ausgewählten Kernboni des Unternehmens und von Drittanbietern (im Folgenden als "Bonuspakete" bezeichnet). Der Kunde erhält Zugang zum Programm und zu den wichtigsten Bonuspaketen für die Dauer des Programms und/oder der einzelnen Angebote innerhalb der Bonuspakete, je nachdem, was kürzer ist.

* Bonusstrategie. Gelegentlich kann das Unternehmen zusätzliche Boni anbieten, die den Programminhalt ergänzen und den Teilnehmer/innen dabei helfen, ihr Business auf die nächste Stufe zu bringen ("Zusatzboni"). Diese zusätzlichen Zusatzboni sind optional und werden teilweise gegen eine zusätzliche Gebühr angeboten, die zum Zeitpunkt des Angebots der Zusatzboni festgelegt wird. Entscheidet sich der Kunde für den Kauf eines Add-On-Bonus, erhält er ab dem Kaufdatum oder dem Datum der Veröffentlichung für den Rest der Laufzeit des Add-On-Bonus Zugang zu diesem. Alle Add-On-Boni sind nicht erstattungsfähig und nicht übertragbar und können nicht gegen einen anderen Bonus eingetauscht werden. Ebenso kann kein Hauptbonus-Bundle-Bonus gegen einen Add-On-Bonus eingetauscht werden.

* Kursaktualisierungen. Während der gesamten Laufzeit des Programms kann das Unternehmen die Programme aktiv aktualisieren, um sicherzustellen, dass die meisten der größten Hindernisse für die Teilnehmer vorhergesehen, minimiert und beseitigt werden. Die Teilnehmer/innen erhalten während der Laufzeit des Programms automatisch Zugang zu allen Programmaktualisierungen innerhalb des Kernlehrplans. Bitte beachte jedoch, dass die Anmeldung zu unserem Programm keinen kostenlosen Zugang zu anderen als den bei der Anmeldung versprochenen Boni garantiert, da bestimmte Boni den Kunden als kostenpflichtige Zusatzleistungen ("Zusatzboni") angeboten werden, für die gesonderte Bedingungen gelten.

* brilliant heads. Eine Lernplattform, die keinerlei Coaching und Betreuung anbietet und auf sich auf die persönliche und berufliche Weiterbildung von Führungskräften und Experten konzentriert. 

* Inner Cirle. Ein Programm, das eine exklusive Mastermind Community für Unternehmer beinhaltet

* MPRNR. Ein hybrides Programm, das auf die intensive Beratung mit begleiteten online Trainings auf den Gebieten digitale Wissensvermittlung im Konzernumfeld, Sales Automatisierung und Leadership Management ausgerichtet ist.

* PB Accelerator. Ein englischsprachiges Programm, dass das selbst entwickelte Lean Online-Business Operating System vermittelt. Der Lizenzvertrag für die Verwendung unserer Templates mit dem zugehörigen Programm wird unter der Marke Productivity Business verkauft und ist kostenpflichtig.

3. Die von der KRISS MICUS GmbH angebotenen digitalen Inhalte dürfen vertragsgemäß ausschließlich zu eigenen Zwecken verwendet werden, d.h. online auf der Website. Ein Download ist unzulässig, gleich zu welchen Zwecken. Werden digitale Inhalte ausnahmsweise zum Download angeboten, so ist ein Herunterladen dieser nur im Einklang mit den damit verbundenen jeweils mitgeteilten Nutzungsbedingungen zulässig und diese dürfen nicht kopiert, weitergehend genutzt oder an Dritte weitergegeben werden. Das Recht zum Download oder an der Nutzung unserer Templates impliziert keinerlei Übertragung oder weitergehende Einräumung von Nutzungs- oder Verwertungsrechten an diesen digitalen Inhalten; Die KRISS MICUS GmbH behält sich insoweit alle nicht ausdrücklich dem Nutzer eingeräumten Rechte vor.

4. Um Dir das bestmögliche Ergebnis liefern zu können, nutzen wir bei einigen Online-Trainingsprogrammen (bei UPLEVEL, THE Program, THE Club, LEAD und der Inner Circle) Live-Meetings via Zoom. Alle Meetings, die per Video-Call stattfinden, finden per Zoom statt. Innerhalb des Clubs werden alle Calls aufgezeichnet und dies ist für alle Teilnehmer jederzeit sichtbar. Du als Teilnehmer musst weder die Kamera noch das Mikrofon einschalten. Es ist nur uns als Host möglich, das Meeting aufzuzeichnen. Die Aufzeichnungen werden je nach Typ im Club für die anderen Mitglieder bereitgestellt. Ein Widerspruch gegen die Verwendung von Bild und Ton aus den Aufzeichnungen ist jederzeit per Mail möglich. 5. Der Betrieb der von der KRISS MICUS GmbH angebotenen Dienste liegt im Ermessen von Kriss Micus. Alle Angebote sind freibleibend und unverbindlich. Die KRISS MICUS GmbH behält sich ausdrücklich vor, jederzeit und ohne Angabe von Gründen Teile der Website zu verändern oder das gesamte Angebot ohne gesonderte Ankündigung inhaltlich zu verändern, zu ergänzen, zu optimieren oder zu löschen oder die Dienste zeitweise oder endgültig einzustellen, sofern Du hierdurch nicht wider Treu und Glauben oder, unter Berücksichtigung unserer billigen Interessen, unzumutbar benachteiligt wirst. Dies gilt nicht für Angebote, die bereits vom Kunden angenommen worden sind.

V. Nutzungsrechte 

1. Die KRISS MICUS GmbH ist alleiniger und ausschließlicher Inhaber sämtlicher Rechte an den über die Website bereitgestellten Inhalten, insbesondere der entsprechenden Eigentums-, urheberrechtlichen, Verwertungs- und gewerblichen Schutzrechte sowie der damit im Zusammenhang stehenden Betriebs- und Geschäftsgeheimnisse. Insbesondere ist die KRISS MICUS GmbH urheberrechtlich Inhaber der ausschließlichen Nutzungsrechte an der Methode.

2. Die KRISS MICUS GmbH räumt Dir ein einfaches, nicht-ausschließliches, nicht übertragbares, räumlich und zeitlich beschränktes, widerrufliches Recht ein, die gebuchten digitalen Inhalte sowie die zur Verfügung gestellten Materialien während der Dauer Deines Nutzungsverhältnisses bestimmungsgemäß und nur für interne Geschäftsprozesse zu nutzen.

3. Du verpflichtest Dich, Reverse Engineering, Disassemblierung, Dekompilierung, Übersetzung oder unzulässige Offenlegungen weder zu veranlassen noch zu ermöglichen, soweit dies nicht nach anwendbarem zwingendem Recht, insbesondere § 69e UrhG, zulässig ist.

4. Du darfst die digitalen Inhalte sowie die zur Verfügung gestellten Materialien nicht vervielfältigen, es sei denn, dies ist durch die bestimmungsgemäße Benutzung abgedeckt. Zur bestimmungsgemäßen Vervielfältigung zählt das Laden in den Arbeitsspeicher auf dem Server von der KRISS MICUS GmbH, nicht jedoch die auch nur vorübergehende Installation oder das Speichern auf Datenträgern von Dir (wie etwa Festplatten o.Ä.).

5. Du bist nicht berechtigt, die digitalen Inhalte und die zur Verfügung gestellten Materialien o.Ä. Dritten entgeltlich oder unentgeltlich zur Nutzung zur Verfügung zu stellen. Eine Weitervermietung ist ausdrücklich untersagt.

6. Sollte die KRISS MICUS GmbH Kenntnis davon erhalten, dass Du Deine Pflichten aus Ziff. V. 3 bis 5 dieser AGB vorsätzlich oder fahrlässig verletzt, so ist die KRISS MICUS GmbH berechtigt, Deinen Zugang ohne Angabe von Gründen umgehend, vorübergehend oder dauerhaft zu sperren, Deine Inhalte zu sperren oder zu löschen und/oder die Nutzung der bereitgestellten Dienste und Funktionen einzuschränken. Wurde Dein Mitgliedskonto gesperrt, so kannst Du nur nach vorheriger schriftlicher Zustimmung durch die KRISS MICUS GmbH erneuten Zugang zu den angebotenen Diensten erhalten. Die KRISS MICUS GmbH entscheidet über Deine erneute Zulassung nach eigenem Ermessen.

7. Um den Verstoß der Nutzungsmöglichkeiten zu ahnden, wird ein Programm und ein Dienstleister genutzt, das automatisiert Verstöße findet, filtert und abmahnt. Deshalb ist zu Deinem Interesse, ausdrücklich darauf zu achten, dass Du diese Verwendungs-/ Nutzungshinweise beachtest.

8. Dein Nutzungsrecht erlischt, soweit Du gegen einer der Bestimmungen in Ziff. 3 bis 5 wiederholt verstößt oder die Laufzeit von 12 Monaten abgelaufen ist.

9. Mit dem Erlöschen Deines Nutzungsrechts hast Du alle Materialien, die sich in Deinem Besitz befinden – sei es in elektronischer oder in gedruckter Form – unverzüglich zu vernichten.

10. Darüber hinaus bist Du berechtigt, Dein Mitgliedskonto jederzeit und ohne Angabe von Gründen zu löschen. Sende uns eine entsprechende Mitteilung per E-Mail an [email protected] und wir nehmen die Löschung so bald wie möglich für Dich vor. Eine Account-Löschung befreit Dich nicht von Deinen vertraglichen Zahlungsverpflichtungen.

11. Wenn das Unternehmen feststellt, dass du dir das geistige Eigentum, zu dem dir Zugang gewährt wurde, widerrechtlich angeeignet oder genutzt hast, wirst du von allen zukünftigen Programmen ausgeschlossen und wirst alle Maßnahmen und alle Anwaltskosten tragen, die zur Durchsetzung dieser Rechte erforderlich sind.

VI. Rechte an Nutzerinhalten

1. Stellst Du bei der KRISS MICUS GmbH Kommentare, Posts, Lernnotizen und ähnliches (nachfolgend "Nutzerinhalte") ein, verbleiben etwaig hieran bestehende Rechte bei Dir. Du räumst uns hieran insoweit Rechte ein, als wir diese benötigen, um diese Nutzerinhalte bestimmungsgemäß in unseren Diensten anzuzeigen und öffentlich zugänglich zu machen. Dies umfasst insbesondere das Teilen von positiven Kommentaren und Erfolgen der Mitglieder in eigenen Diensten von der KRISS MICUS GmbH.

2. Du kannst Deine bei der KRISS MICUS GmbH eingestellten Nutzerinhalte jederzeit eigenhändig entfernen. Du kannst uns auch an [email protected] eine E-Mail mit der Bitte schicken, Nutzerinhalte zu entfernen. Wir werden dem möglichst innerhalb von 14 Tagen nachkommen. Mit der Entfernung entfallen jegliche, uns gem. vorstehender Ziff. 1 etwaig gewährten Nutzungsrechte an dem jeweiligen Inhalt.

VII. Support 

Sollten bei der Nutzung der digitalen Inhalte und der damit verbundenen Leistungsangebote Probleme auftreten, kannst Du Dich innerhalb unserer vorgegebenen Geschäftszeiten bei uns per E-Mail ([email protected]) melden. Unser allgemeiner Kundenservice ist werktags zwischen 9.00 und 15.00 Uhr belegt. Er wird versuchen, alle eingehenden Anfragen innerhalb von 48 Stunden zu beantworten.

 

VIII. Zahlung

1. Für Zahlungen bieten wir grundsätzlich die Zahlarten Kreditkarte und Paypal, sowie nach Absprache Vorabüberweisung, Rechnung und Bankeinzug (Lastschrift) an. Du garantierst, dass alle von Dir angegebenen Kreditkarten- oder Zahlungsinformationen korrekt und vollständig sind.

2. Bei Zahlung per Kreditkarte oder Paypal erfolgt die Belastung Deines Bankkontos mit Abschluss des Buchungsvorgangs. Bei Zahlung per Bankeinzug (Lastschrift) übermitteln wir den Auftrag zum Einzug mit Abschluss der Buchung an unseren Bezahldienstleister, die Belastung Deines Bankkontos erfolgt in der Regel wenige Tage danach.

3. Bei Auswahl der Zahlungsart Bankeinzug (Lastschrift) und der Übermittlung der Bankverbindungsdaten des Kunden wird die KRISS MICUS GmbH widerruflich ermächtigt, den Rechnungsbetrag von dem angegebenen Konto einzuziehen. Wird die Lastschrift mangels ausreichender Kontodeckung oder aufgrund der Angabe einer falschen Bankverbindung nicht eingelöst oder widersprichst Du der Abbuchung, obwohl Du hierzu nicht berechtigt ist, hast Du die durch die Rückbuchung des jeweiligen Kreditinstituts entstehenden Gebühren zu tragen, wenn Du dies zu vertreten hast. Die Belastung Deines Kontos erfolgt nach Abschluss des Buchungsvorgangs.

4. Du hast alle Rechnungsinformationen (wie Rechnungsadresse, Kartennummer und Ablaufdatum) unverzüglich zu aktualisieren, um Dein Konto aktuell, vollständig und korrekt zu halten, und Du hast uns unverzüglich zu kontaktieren, wenn Deine Kreditkarte verloren geht oder gestohlen wird, oder wenn Du von einer möglichen Verletzung der Kontosicherheit (z.B. einer unbefugten Offenlegung oder Verwendung Deines Anmeldenamens oder Passworts) Kenntnis erlangst.

5. Wir bieten die folgenden Möglichkeiten zur Bezahlung an:

* Einmalzahlung, d.h. Zahlung des vollen Jahresbeitrags bei Bestellung

* Ratenzahlung, die in 12 gleiche monatliche Raten aufgeteilt ist

6. Wenn Du ein Programm mit einer Ratenzahlung betrittst, zahlst Du im Voraus für den ersten Monat in voller Höhe. Bei beiden Zahlungsoptionen erhältst Du Zugang zu dem gesamten Programm.

7. Die folgenden Preise verstehen sich als Nettopreise:

* Mepreneur (THE Program): ab 799 Euro monatlich für 12 Monate

* brilliant heads: ab 99 Euro monatlich

* Inner Circle: ab 4500 Euro monatlich für 3 Monate 

* PB Accelerator: ab 599 Euro pro Jahr

* MPRNR: ab 5.000 Euro pro Consulting Session 

8. Wenn Du Dich entscheidest, ein Programm zu einem beliebigen Zeitpunkt während der fortdauernden Laufzeit zu verlassen, werden Dir weiterhin die restlichen offenen Raten des von Dir erworbenen Programms monatlich in Rechnung gestellt. Auch im Falle der Einmalzahlung erfolgt keine teilweise Rückerstattung. Das Unternehmen bietet keinerlei Rückerstattung an. Es liegt in der Verantwortung des Kunden, sich zu vergewissern, dass das Angebot das Richtige für ihn ist. Lies unsere Verkaufsseite und die Geschäftsbedingungen sorgfältig durch, bevor du unsere Produkte und Programme kaufst, nutzt oder darauf zugreifst. Bitte beachte, dass wir keine Teilrückerstattungen für unsere Programme anbieten und unsere exklusiven optionalen Zusatzboni unter keinen Umständen erstattet werden können.

9. Die KRISS MICUS GmbH kann das Entgelt, das zum nächsten Zahlungszeitpunkt entsteht, fällig stellen, wenn Du mit einer Zahlungspflicht in Verzug bist und eine von uns gesetzte Nachfrist von zwei Wochen ergebnislos verstrichen ist; nach Ablauf der Frist sind wir außerdem berechtigt, die weitere Leistung zurückzuhalten, d.h., den Account vorübergehend zu sperren.

10. Bei einem Zahlungsverzug von mehr als zwei Monaten wird sofort der gesamte restliche Betrag bis zum Ende des Abonnementzeitraums fällig.

11. Wenn Du mit einer Zahlungspflicht i.H.v zumindest drei Monatsraten in Verzug bist, kann die KRISS MICUS GmbH das Abonnement außerordentlich wegen einer Pflichtverletzung von Dir kündigen. In diesem Fall verlierst Du Deinen Leistungsanspruch und kannst gleichwohl von der KRISS MICUS GmbH auf Ersatz des Nichterfüllungsschadens in Anspruch genommen werden, der der KRISS MICUS GmbH bis zum vereinbarten Abonnementende entsteht.

IX. Pflichten der Mitglieder

1. Du bist verpflichtet, Deine Zugangsdaten geheim zu halten und Dritten keinen Zugang zu Deinem Mitgliedskonto zu ermöglichen (vgl. III Ziff. 3). Dein Mitgliedskonto kann nicht auf Dritte übertragen werden. Insbesondere ist es Dir untersagt, Dritten über Dein Mitgliedskonto Zugang zu den Diensten von der KRISS MICUS GmbH zu verschaffen. Du bist verpflichtet, die KRISS MICUS GmbH umgehend zu informieren, wenn es Anhaltspunkte für den Missbrauch Deines Mitgliedskontos gibt bzw. wenn Du Kenntnis davon erlangst, dass ein Dritter unbefugt von Deinen Zugangsdaten Kenntnis genommen hat.

2. Du bist verpflichtet, bei der Nutzung der Leistungen von der KRISS MICUS GmbH stets die geltenden Gesetze und Rechtsvorschriften einzuhalten. Insbesondere darfst Du keine Inhalte, Materialien oder Informationen veröffentlichen und über die Website zugänglich machen, die gegen gesetzliche Bestimmungen und/oder diese Nutzungsbedingungen verstoßen. Dies gilt insbesondere dann, wenn Mitglieder Ihre Antworten für den Zoom Call einreichen.

3. Du darfst die von der KRISS MICUS GmbH angebotenen Dienste, gleich in welcher Weise, nicht missbräuchlich nutzen. Eine missbräuchliche Nutzung liegt insbesondere in folgenden Fällen vor:

1. Über für persönliche vertragsgemäße Zwecke hinausgehende Nutzung, insbesondere Nutzung, die einer Einräumung, Übertragung oder Wahrnehmung von Rechten nach dem Urheberrechtsgesetz bedürfen würde;

2. Veröffentlichung oder Verbreitung von pornographischen, obszönen, sexistischen, diffamierenden, verleumderischen, beleidigenden, bedrohenden, volksverhetzenden oder rassistischen Inhalten, Informationen, Software oder anderem Material;

3. Jegliche Form der Werbung für Produkte oder Dienstleistungen einschließlich der Nutzung von Daten zur Verbreitung von Werbung, sofern die KRISS MICUS GmbH dem nicht explizit vorher schriftlich zugestimmt hat;

4. Gewerbliche Nutzung der von der KRISS MICUS GmbH angebotenen Dienste, ohne dass die KRISS MICUS GmbH der gewerblichen Nutzung vorher zugestimmt hat;

5. Vornahme jeglicher Handlungen, die die Funktionsfähigkeit der Dienste von der KRISS MICUS GmbH beeinträchtigen oder beeinträchtigen können (z.B. durch Einbezug schädlicher Komponente wie Viren); Du darfst dem Server, der diese Website oder die Mitgliedschaftsseite hostet, keine unzumutbare Last aufbürden, den Betrieb dieser Website nicht stören und keinen unbefugten Zugriff auf einen Teil dieser Website versuchen.

6. Die Nichteinhaltung der vorstehenden Bestimmungen kann dazu führen, dass dein Account gesperrt oder geschlossen wird.

7. Du erkennst an, dass die KRISS MICUS GmbH sich das Recht vorbehält, jegliche und alle Kommunikationen zu überwachen, die an uns oder über unser System erfolgen. Du erkennst an, dass die KRISS MICUS GmbH Kopien aller an uns gemachten Kommunikationen oder der Nutzung unseres Systems behalten darf. Du nimmst zur Kenntnis, dass jegliche Informationen, die Du an uns durch unser System sendest, von uns in irgendeiner Weise verändert werden können und Du verzichtest hiermit auf dein moralisches Recht, als Autor solcher Informationen identifiziert zu werden.  

X. Keine Konkurrenztätigkeit

Im Interesse der Vermeidung von Konfliktsituationen verpflichtest Du Dich, dass Du Inhalte und Materialien, auf die Du über die Website Zugriff hast, nicht verwenden wirst, um eine mit uns konkurrierende Website, ein mit uns konkurrierendes Produkt oder eine mit uns konkurrierende Dienstleistung zu erstellen; und dass Du kein Werk erstellen wirst, das kompiliert oder sich aus dem ableitet, worauf Du hier Zugriff hast (vgl. Ziff. V. 3.).

 

XI. Gewährleistung

1. Die bereitgestellten digitalen Inhalte sowie die zur Verfügung gestellten Materialien wurden mit größter Sorgfalt erstellt. Für die Richtigkeit, Vollständigkeit, Verlässlichkeit, Brauchbarkeit und Aktualität der digitalen Inhalte und der zur Verfügung gestellten Materialien übernimmt die KRISS MICUS GmbH jedoch keine Gewähr. Der jeweilige Nutzer ist daher grundsätzlich verpflichtet, sämtliche Inhalte vorab auf ihre Tauglichkeit für die von ihm geplante Verwendung zu prüfen.

2. Wir gewährleisten die Funktions- und Betriebsbereitschaft der Website und der digitalen Inhalte und der damit zusammenhängenden Leistungsangebote nach den Maßgaben dieser AGB. Die KRISS MICUS GmbH garantiert nicht, dass die Website oder die digitalen Inhalte unter allen Umständen und jederzeit fehlerfrei sind und dass im Laufe der Zeit keine Änderungen an der Website oder der digitalen Inhalte erfolgen (insbesondere bei notwendigen Produktanpassungen). Wir behalten uns vor, die Funktionen und Nutzungsmöglichkeiten der Website und der digitalen Inhalte weiterzuentwickeln. Die Website und die digitalen Inhalte müssen von uns möglicherweise von Zeit zu Zeit aus triftigen Gründen aktualisiert werden, beispielsweise im Fall von Fehlerkorrekturen, Funktionsverbesserungen, Anpassung der Kompatibilität an die Hardware, Schließung möglicher Sicherheitslücken und in ähnlichen Fällen. Solche Updates erfolgen auch in Deinem Interesse. Du erklärst Dich daher bereit, dass derartige zumutbaren Updates automatisch installiert werden dürfen; vorübergehende Einschränkungen der Verfügbarkeit können sich daneben auch durch Wartungsarbeiten oder höhere Gewalt ergeben.

3. Wir übernehmen über die in diesen AGB geregelte Gewährleistung hinaus keine Garantien – weder ausdrücklich noch implizit. Wir streben aber eine durchgängige und unterbrechungsfreie Verfügbarkeit an.

4. Bei den mit der Nutzung der digitalen Inhalte und der damit zusammenhängenden Leistungsangeboten von der KRISS MICUS GmbH handelt es sich um reine Dienstleistungen. Ein Erfolg ist nicht geschuldet. Für Mängel haftet die KRISS MICUS GmbH nur nach den Regeln des Dienstvertragsrechts (§§ 611 ff. BGB).

 

XII. Haftung der KRISS MICUS GmbH

1. Bei Vorsatz und grober Fahrlässigkeit, auch ihrer gesetzlichen Vertreter und Erfüllungsgehilfen, haftet die KRISS MICUS GmbH nach den gesetzlichen Bestimmungen. Das Gleiche gilt bei schuldhaft verursachten Schäden aus der Verletzung des Lebens, des Körpers oder der Gesundheit, bei Schäden, die durch das Fehlen einer garantierten Beschaffenheit verursacht wurden.

2. Bei leicht fahrlässig verursachten Sach- oder Vermögensschäden haftet die KRISS MICUS GmbH nur im Falle der Verletzung einer wesentlichen Vertragspflicht (sog. "Kardinalpflicht"; d.h. eine Pflicht, deren Erfüllung die ordnungsgemäße Durchführung eines Vertrages überhaupt erst ermöglicht und auf deren Einhaltung die Parteien regelmäßig vertrauen dürfen); in diesem Fall ist die Haftung der Höhe nach begrenzt auf den bei Vertragsschluss vorhersehbaren und vertragstypischen Schaden.

3. Die Haftung nach dem Produkthaftungsgesetz bleibt unberührt.

4. Im Übrigen ist die Haftung von der KRISS MICUS GmbH ausgeschlossen.

5. Der Kunde erkennt hiermit an, dass das Unternehmen nicht für Schäden haftet, die sich aus Handlungen, Unterlassungen oder Entscheidungen des Kunden ergeben, die auf der Teilnahme an diesem Programm oder der Nutzung dieser Programms oder Websiteinhalte beruhen. Dies beinhaltet, ist aber nicht beschränkt auf die Entscheidung, einen Arbeitsplatz zu verlassen, in digitale Software zu investieren, ein Unternehmen zu gründen, mit Dritten, wie z. B. anderen Teilnehmern zu kommunizieren sowie sonstigen geschäftliche und finanzielle Entscheidungen des Kunden. Der Kunde erklärt sich hiermit bereit, das Unternehmen von allen Ansprüchen freizustellen, die sich aus der Nutzung dieses Programms ergeben könnten.

XIII. Laufzeit, Löschung von Inhalten und Ausschluss von der Nutzung

1. Deine Mitgliedschaft läuft nach 12 Monaten aus und bedarf keiner Kündigung.

2. Das Recht der Parteien zur außerordentlichen Kündigung bleibt unberührt. Ein wichtiger Grund zur außerordentlichen Kündigung besteht für uns, insbesondere,

* wenn Du bei der Registrierung falsche Angaben gemacht hast;

* wenn Du erheblich und/oder wiederholt gegen Deine aus diesen AGB sich ergebenden Pflichten verstößt;

* wenn Du mit einer Zahlungspflicht i.H.v zumindest drei Monatsraten in Verzug bist (vgl. Ziff. XIII. 12.);

* wenn Du wiederholt gegen die Bestimmungen zu den Nutzungsrechten verstößt (vgl. Ziff. V. 3-5).

3. Wenn Du Deine Mitgliedschaft außerordentlich kündigen möchtest, schreibe uns eine E-Mail an [email protected]

4. Mit Ablauf der Laufzeit von 12 Monaten oder im Falle einer außerordentlichen Kündigung enden alle unter diesen AGB gewährten Nutzungsrechte. Du hast alle Informationen und Inhalte (einschließlich aller Kopien), die Du von der Mitglieder-Website erhalten hast, unverzüglich zu löschen und zu vernichten (vgl. Ziff. V. 8. und 9.).

5. Die KRISS MICUS GmbH wird Dir drei Monate vor Ablauf der Mitgliedschaft ein Verlängerungsangebot unterbreiten.

 

XIV. Links

1. Inhalte auf dieser Website können Links zu externen Webseiten Dritter, auf deren Inhalte die KRISS MICUS GmbH keinen Einfluss hat, enthalten. Deshalb kann die KRISS MICUS GmbH für diese fremden Inhalte auch keine Gewähr übernehmen. Für die Inhalte der verlinkten Seiten ist stets der jeweilige Anbieter oder Betreiber der Seiten verantwortlich. Die verlinkten Seiten wurden zum Zeitpunkt der Verlinkung auf mögliche Rechtsverstöße überprüft. Rechtswidrige Inhalte waren zum Zeitpunkt der Verlinkung nicht erkennbar. Eine permanente inhaltliche Kontrolle der verlinkten Seiten ist jedoch ohne konkrete Anhaltspunkte einer Rechtsverletzung nicht zumutbar. Deep-Linking (d.h. Links zu bestimmten Seiten innerhalb der Website) erfordert unsere ausdrückliche schriftliche Zustimmung. VX. Änderung der Allgemeinen Nutzungs- und Geschäftsbedingungen

1. Soweit nicht bereits anderweitig speziell geregelt, sind wir berechtigt, diese AGB, sowie weitere Konditionen zu ändern oder zu ergänzen. Wir werden Dir die Änderungen oder Ergänzungen spätestens sechs Wochen vor ihrem Wirksamwerden in Textform ankündigen. Bist Du mit den Änderungen oder Ergänzungen nicht einverstanden, so kannst Du ihnen mit einer Frist von einer Woche zum Zeitpunkt des beabsichtigten Wirksamwerdens der Änderungen oder Ergänzungen widersprechen. Der Widerspruch bedarf der Textform. Widersprichst Du nicht, so gelten die Änderungen oder Ergänzungen als von Dir genehmigt. Wir werden Dir mit der Mitteilung der Änderungen oder Ergänzungen auf die vorgesehene Bedeutung Deines Verhaltens besonders hinweisen.

2. Das Vorstehende gilt nicht für die Änderung von Hauptpflichten (z.B. Entgelte). 

XVII. Schlussbestimmungen

1. Etwaige individuelle Vereinbarungen mit Dir (z.B. in Nutzungsverträgen) haben Vorrang vor diesen AGB.

2. Ohne unsere ausdrückliche schriftliche Zustimmung oder Zustimmung in Textform darfst Du Deine Rechte bzw. Ansprüche gegen uns, insbesondere wegen von uns begangener Pflichtverletzungen, weder ganz noch teilweise auf Dritte übertragen oder an Dritte verpfänden; § 354 a HGB bleibt hiervon unberührt.

3. Vorbehaltlich besonderer Vereinbarung ist Erfüllungsort ausschließlich der Geschäftssitz von der KRISS MICUS GmbH.

4. Ist der Kunde Kaufmann im Sinne des Handelsgesetzbuches, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen, so ist ausschließlicher Gerichtsstand für alle Verpflichtungen aus und in Zusammenhang mit dem Vertragsverhältnis der Geschäftssitz von der KRISS MICUS GmbH oder nach Wahl von der KRISS MICUS GmbH auch der Sitz des Kunden, sofern nicht ein ausschließlicher gesetzlicher Gerichtsstand eingreift. Vorstehende Gerichtsstandsvereinbarung gilt auch gegenüber Kunden mit Sitz im Ausland.

5. Hinsichtlich aller Rechte und Pflichten aus und in Zusammenhang mit der Nutzung der Website und der digitalen Inhalte und der damit zusammenhängenden Leistungsangebote kommt ausschließlich und ohne Rücksicht auf kollisionsrechtliche Regelungen das Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts zur Anwendung.

6. Sollte eine Bestimmung in diesen Bedingungen oder eine Bestimmung im Rahmen sonstiger Vereinbarungen zwischen der KRISS MICUS GmbH und Dir unwirksam sein oder werden, so wird hiervon die Wirksamkeit aller sonstigen Bestimmungen oder Vereinbarungen nicht berührt. Soweit es sich bei der unwirksamen Bestimmung um eine wesentliche Vertragsbestimmung handelt, verpflichten sich die Parteien, gemeinsam über eine wirksame Bestimmung zu verhandeln.
